ITC has acquired the remaining stake in Sproutlife Foods, the company behind Yoga Bar, for approximately Rs 645 crore. The transaction involved the purchase of 13,445 equity shares of Sproutlife through a secondary sale. Completed on September 28, 2026, the deal takes ITC’s stake in the company from around 47.5% to 100%.
With the acquisition, Sproutlife Foods is now a wholly owned subsidiary of ITC.
Sproutlife operates in the new and innovative foods segment and manufactures and sells products under the Yoga Bar brand. The company follows a digital-first model, with a significant portion of its sales coming through its direct-to-consumer platform and e-commerce marketplaces.
ITC said the acquisition supports its strategy to strengthen and expand its future-ready foods portfolio. The transaction was completed entirely in cash and did not require any government or regulatory approvals. ITC also said the deal does not qualify as a related-party transaction.
The company had earlier acquired a stake in Sproutlife, and the latest transaction gives it full ownership of the Yoga Bar business.
