IPO-bound eB2B major Udaan has announced the acquisition of retail-tech startup ShopKirana in an all-stock transaction, marking a significant consolidation move in India’s growing B2B retail tech space.

The deal strengthens Udaan’s position across key categories such as FMCG, staples, and HoReCa (Hotel, Restaurant, and Catering) and aligns with its broader strategy of achieving profitable growth through deep market penetration, operational efficiencies, and expanded geographic reach.

Founded in 2015, ShopKirana has built a strong base in Tier-2 and Tier-3 cities like Indore, Bhopal, Lucknow, Agra, Surat, and Meerut. Its focus on digital procurement, transparent pricing, and last-mile delivery complements Udaan’s national presence and robust tech-led supply chain infrastructure.

The integration aims to enhance operating leverage, scale high-turnover categories, and unlock greater value for kirana stores and brands by combining ShopKirana’s retail network with Udaan’s pan-India logistics, credit offerings, and data-driven capabilities.

Udaan CEO and Co-Founder Vaibhav Gupta termed the acquisition a “strategic milestone” on the company’s IPO path. “We share a common strategy of winning on costs and becoming the preferred supplier for shopkeepers and brands,” Gupta said.

With this acquisition, Info Edge also becomes a shareholder in Udaan, aligning with a shared mission to transform India’s retail-tech ecosystem. The move follows Udaan’s recent USD 114 million Series G fundraise led by M&G Investments and Lightspeed, which will support category leadership, supply chain optimisation, and new market expansion.

ShopKirana Co-Founder Sumit Ghorawat added: “This partnership will enable us to take more brands to more retailers, more efficiently, and capture market share.”

The transaction is subject to regulatory approvals.

udaan, India’s leading eB2B platform, today announced the successful closure of its Series G financing round raising $114 Million in fresh equity capital. The round was led by M&G Investments and Lightspeed with participation from other existing and new investors, reflecting strong investor conviction in udaan’s long-term opportunity and its progress towards public market listing.

The fresh capital will be deployed to strengthen udaan’s category and customer footprint, with focus on Fast-Moving Consumer Goods (FMCG) category and Hotel, Restaurant, and Catering (HoReCa) customer segment. udaan will also accelerate its private label brands initiatives in the staples category. This capital raise will also fortify udaan’s balance sheet, providing enhanced financial flexibility as the company advances toward its public market debut.

As part of its long-term vision, udaan is focused on driving “consistent growth with profitability at scale” by following regional cluster-led operating model reinforcing its commitment to building a sustainable and scalable business.

Backed by solid business fundamentals, udaan continues to demonstrate strong contribution margin accretive growth, clocking 60%+ Year-on-Year (Y-o-Y) growth in CY 2024, alongside a 300+ basis point improvement in contribution margin. This growth trajectory has continued into CY 2025 with an additional 100+ bps contribution margin improvement year-to-date. Alongside the contribution margin growth and scale operating leverage, udaan also reduced its fixed costs by 20%, leading to a 40% reduction in EBITDA burn in calendar year CY 2024 and an additional 20% reduction year-to-date in CY 2025.

Vaibhav Gupta, Co-founder and CEO, udaan, said, “Over the last 3 years, we have transformed the business by building cost as a capability and a competitive advantage. We have reduced our EBITDA burn by 40% every year for the last 3 years and are on track to achieve full group EBITDA profitability in the next 18 months.

udaan’s hybrid model of ‘highly available eCom app + new-gen tech-first sales’ is now established as the benchmark winning model for eB2B, providing an ROI accretive customer wallet growth, and a strong solution for brands and manufacturers to drive product mix.”

Completion of series G round enables us to continue investing in our customer-tech platform, sales-tech capabilities and deepening our customer value proposition helping us deliver our goal of consistent growth with profitability at scale.”

udaan, India’s largest e-business-to-business (eB2B) platform, today announced the shopping trends that defined eB2B in Calendar Year 2024 (CY24) on the platform, offering key insights into how the shopping patterns of Indian retailers have transformed over the past year. With key achievements in business performance, rapid growth in private label adoption, and exceptional engagement across FMCG and other key categories, the trend highlights udaan’s transformational impact on the kirana ecosystem.

The Shopping Trends That Defined Kirana Commerce on udaan:

udaan shipped over 2.45 Billion units in the FMCG business alone, with the tonnage of all food products delivered (FMCG, Staples and Fresh) exceeding 7 lakh Metric tonnes. The platform recorded ~ 65% increase in overall business, driven by a ~70% growth in the daily buyers, marking 2024 as the year with the highest-ever daily buyers on the platform. Additionally, repeat rate reached an all-time high, rising 1,000 bps above last year, reaffirming strong customer stickiness and trust. This milestone highlights the value udaan delivers to a diverse and expanding network of kirana partners, empowering them to grow and succeed in a dynamic retail market.

Further, udaan processed 85.85 million lines of orders, highlighting its growing role as a trusted partner for retailers. This growth reflects not only increasing daily reliance but also udaan’s ability to seamlessly manage diverse inventory needs. Backed by a robust network and operational excellence, udaan remains committed to delivering value to kirana partners across Bharat.

Vaibhav Gupta, Co-Founder and CEO, udaan, said, “This has been a defining year for us with strong sustainable growth highlighting the success of the eB2B cluster playbook that udaan has developed to empower small retailers across India. With 85%+ growth in FMCG and 250% growth in staples private labels business, we are not just enabling kirana commerce but actively leading its transformation. The rapid adoption by kiranas also highlight udaan’s acceptance as the most trusted eB2B partner for small businesses. As we look forward to 2025, our focus remains on customer-centric innovation, operational efficiency, and sustainable value creation —strengthening the backbone of Bharat’s kirana ecosystem and driving the future of retail distribution.”

Essentials category (FMCG, Staples and Fresh)

The FMCG business achieved a 85%+ Year-on-Year (YoY) growth in its revenue run rate. The growth was driven by an increase of 50% in the number of products ordered by retailers, demonstrating udaan’s strong distribution capabilities to meet the diverse and evolving needs of buyers. Additionally, the FMCG business witnessed 60% increase in buyers, highlighting the growing trust and dependence of retailers on udaan for their everyday business essentials requirements.

udaan’s private label brands continued to accelerate and recorded 250% Y-o-Y growth in its revenue run rate. This remarkable performance reflects the increasing demand for udaan’s high-quality, value-driven products that have become a preferred choice among kirana retailers. The success of private labels not only signifies deep customer trust but also aligns seamlessly with udaan’s strategy to enhance profitability by offering superior margins through exclusive, high-performing products.

The udaan platform witnessed a strong surge in demand, with Bengaluru, Delhi, Hyderabad, and Kolkata continuing to drive growth among Metros. At the same time, non-metro cities like Ghaziabad, Jaipur, Ahmedabad, Lucknow, and Indore saw rapid adoption, highlighting the deepening penetration of eB2B commerce.

Additionally, Pune, Mysore, and Mumbai emerged as high-growth markets, reinforcing the growing acceptance of eB2B trade among small businesses and strengthening udaan’s position as the preferred partner for retailers across Bharat

udaan’s Sustainability Initiative: Expanding EV Adoption in Last-Mile Delivery

As part of udaan’s commitment to sustainability and operational efficiency, in CY24 udaan introduced and deployed Electric Vehicles (EVs) for last-mile deliveries in Bengaluru. This initiative marked a significant step towards reducing carbon emissions and promoting eco-friendly logistics in the eB2B sector.

Overall Business Performance: Key Highlights

In CY24, udaan achieved consistent growth highlighting the strength of its strategic approach and implementation of the new design playbook in the marketplace. The company is on track to achieving profitability, with an impressive 65% ARR growth and over 70% increase in daily transacting buyers, driving deeper market penetration and increasing wallet share among retailers. Additionally, gross margins improved by 200 basis points and contribution margins by 320 basis points, alongside a 20% increase in buyer wallet share and monthly repeat ratio of over 90%. Most notably, during the period the company achieved a 30% reduction in absolute EBITDA burn, underscoring consistent focus on driving sustainable growth through efficiency enhancement and superior execution in the marketplace.

udaan, India’s eB2B platform, has announced a strategic partnership with the Ministry of Consumer Affairs, Food and Public Distribution, and the Small Industries Development Bank of India (SIDBI) to transform Fair Price Shops (FPSs) into ‘Jan Poshan Kendras (JPK)’.

This initiative aims to enhance the income of Fair Price Shops dealers while improving nutritional outcomes for beneficiaries. The initiative also provides upskilling of FPS dealers, access to credit, and ongoing financial support to them, enabling them to offer nutrition-dense non-Public Distribution System (PDS) commodities at their shops

The initiative was launched in the presence of Pralhad Joshi, Union Minister of Consumer Affairs, Food and Public Distribution & New and Renewable Energy in New Delhi. Manoj Mittal, Chairman & Managing Director from SIDBI, and Vaibhav Gupta, Co-Founder & CEO of udaan were present on the occasion.

Talking about the initiative, Vaibhav Gupta, Co-Founder and CEO, udaan, said, “At udaan, our mission has always been to empower small businesses and create a more inclusive and efficient marketplace. The Jan Poshan Kendra Development initiative of the Ministry of Consumer Affairs, Food and Public Distribution, in association with SIDBI and udaan, is a significant step towards achieving that vision. By modernising Jan Poshan Kendra and expanding their access to a diverse range of products, the initiative aims to empower these essential community businesses while contributing to the broader goal of ensuring that every Indian has access to quality and affordable nutrition. We are proud to be a part of this transformative initiative that will uplift both the small shops and the communities they serve.”

As part of this initiative, udaan will enable Jan Poshan Kendras to access a broader and more diverse assortment of food products through its eB2B platform. This will address the requirements such as:

Availability of wide variety of products

Regular stocking of frequently demanded products

The need to serve a large and diverse population

This initiative will also provide the Jan Poshan Kendras with a large variety and adequate quantity of nutritional options at regular intervals to cater to the communities in the areas where they are present.

Under the pilot initiative, approximately 60 selected Fair Price Shops (15 FPSs from each pilot district/ state) across four States: Rajasthan (Jaipur), Uttar Pradesh (Ghaziabad) Telangana (Hyderabad), and Gujarat (Ahmedabad) have been identified.

As part of the pilot project being undertaken in various States, udaan will offer access to over 3500 products across various staples and FMCG categories, ensuring that Jan Poshan Kendras can meet the diverse nutritional needs of their communities.

Post a successful validation of the model, the initiative aims to expand and cover ~1.3 lakh Jan Poshan Kendras identified by the Ministry of Consumer Affairs, Food and Public Distribution for modernization.

To provide financial assistance to this initiative, SIDBI will offer credit facilities to these Jan Poshan Kendra, enabling them to purchase food grains and FMCG products through udaan’s platform.

This initiative is a significant step towards realizing the Government’s vision of a healthy and well-nourished India. Jan Poshan Kendras will immensely benefit from quality products at affordable pricing, a wider variety of food products and selections, better product availability, and enhanced convenience of ordering anytime. Additionally, the underserved communities that they serve will gain access to a broader range of essential nutritional options at various price points, thereby improving their overall nutrition.

Udaan in partnership with other govt and financial authorities has already conducted multiple educational workshops for Jan Poshan Kendra owners, educating them on the benefits and opportunities provided by this initiative. The response from shop owners has been overwhelmingly positive, indicating strong support and enthusiasm for the initiative.

In the year 2018, a new startup dared to step into the formidable realm of the FMCG industry which is known for its intricacies and challenges that can daunt even the boldest of entrepreneur. udaan kicked off in this realm relentlessly and in a mere seven years since its inception in 2015, udaan tapped into the treasure trove of opportunities in the FMCG sector waiting to be explored.

udaan set out to become the bridge between manufacturers, wholesalers, and retailers, with a mission to reduce inefficiencies and expand the array of FMCG products available in the market. Their strategy was nothing short of meticulous. Every facet of FMCG trade underwent thorough scrutiny, guided by a crystal-clear vision. udaan’s FMCG business success story is an ode to ambition, strategy, and an unyielding spirit. It serves as a reminder that within challenges lie immense opportunities. Inefficiencies can be transformed into streamlined efficiency, and dreams can be turned into a thrilling reality. udaan’s journey in the FMCG landscape has been significant, but the story is far from over.

Bridging Gaps and Streamlining Trade

In the dynamic world of the FMCG industry, udaan has become a champion for small and medium-sized retailers, bridging access gaps and opening doors to a wider array of choices for retailer.

Retailers have the convenience of downloading the udaan app and uploading the necessary documents for placing orders. They no longer need to wait for a specific representative to visit them. With udaan, buyers of all classes can directly order products through the app from their outlet and enjoy the benefits of doorstep delivery.

Conventional distribution systems restrict direct delivery to high-level outlets. A larger number of buyers had to visit wholesale markets to procure their merchandise. This poses significant challenges for the buyers, impacting their business operations as they have to temporarily close their outlets during these trips.

Going beyond its own corporate ambitions, udaan is making a determined effort to revolutionize the FMCG sector, embedding efficiency into every aspect of the trade. Vinay Shrivastava, Business Head for FMCG at udaan, is a driving force behind this transformative mission. He emphasizes the company’s strong commitment to customer satisfaction, with a vision to provide a convenient one-stop shop where tailored product availability is the norm.

‘‘Our objective is to build udaan as the most favored destination for FMCG buyers. udaan’s motto for the FMCG retail buyer is: ‘One Stop Shop Available Every day at Fair Price and Easy to Deal With,’’says Shrivastava.

He further adds that udaan’s platform has an extensive catalog of 2,000-3,000 SKUs from over 400+ FMCG brands which is available every day making udaan one of the largest for any eB2B company. From home care to personal care and foods to beverages, udaan offers an extensive range of products. And it doesn’t just stop at listings; the platform has set high standards with a remarkable 98.4% compliance rate for Next-Day Delivery (NDD).

Geographic expansion forms the cornerstone of udaan’s strategy, and it extends beyond mere geographical reach. It’s about democratizing the FMCG sector and igniting economic growth. udaan has become the trusted partner for businesses of all sizes, offering not just reliability but timely deliveries and a level of transparency in the industry.

But what set udaan apart are not just its extensive offerings or efficiency but it’s their commitment to fair pricing. They employ dynamic pricing that reflects real-time market conditions, giving retailers access to transparent and equitable pricing. Their digital platform is more than user-friendly and it’s a game-changer in the world of hassle-free purchasing.

Tracking shipments and processing payments has becomes a breeze, thanks to udaan’s intuitive platform. But their support goes beyond the basics; they empower buyers with accessible credit options, offering a financial lifeline to retailers.

Perhaps one of the most remarkable aspects of udaan is their “no-questions-asked” return policy. “It’s not just a policy; it’s a testament to our commitment to customer satisfaction. When a product falls short, we take it back without hesitation, underlining that ‘trust’ isn’t just a slogan; it’s a way of life for us,” avers Shrivastava.

But udaan’s mission extends far beyond to cover many more aspects. They offer data-driven insights that enhance profitability and foster win-win partnerships with their customers. Their vision is clear: to become the “Partner of Choice.” It revolves around trust, transparency, and customer-centric solutions. In a competitive market, udaan is well-positioned to support retailers and establish themselves as a partner of choice where trust fuels retail’s success.

Transforming Rural FMCG Distribution

The company has embarked on an ambitious initiative called ‘Project Vistaar’, designed to overhaul the FMCG distribution landscape. Its impact is particularly profound in rural India, where udaan initially focused on ten districts in Eastern Uttar Pradesh and aspires to extend its influence to Bihar, the North East, and Karnataka.

“We initiated Project Vistaar to empower small retailers and kirana store owners with access to a wide range of food and FMCG products. Our initial goal is to onboard retailers in 4,100 towns and villages across Uttar Pradesh, expanding our regional presence. Our vision is to reach 15,000 towns and villages by the end of 2023, providing a comprehensive range of products and services to an expanding network of retailers,” says Shrivastava.

As a modern commerce trailblazer, udaan’s commitment extends beyond urban landscapes; it ignites economic growth by democratizing commerce in the heart of rural India through Project Vistaar, expanding horizons for partner brands.

Presenting Extensive Product Portfolio and New Launches

udaan’s extensive portfolio, spanning a wide range of SKUs, provides a diverse array of product options, facilitating partner growth. Their innovative approach solidifies their position as the preferred brand choice, especially those brands/companies seeking for product launches.

In the world of FMCG, launching new products can be a daunting challenge, but udaan has ingeniously designed a cost-effective platform for new product launches within their existing buyer base, underpinned by their resolve to innovate.

“Execution of new product launch has always been challenge for most FMCG companies and it’s one of the unsolved problems. udaan has built a very strong vehicle for new launches across our existing buyer base. It allows our partners to test the market much more economically and tweak their offerings accordingly. We have become a partner of choice or I would like to say a ‘favored new launch vehicle’ for brands,” says Shrivastava.

Going beyond transaction facilitation, udaan nurtures substantial relationships with vendors and partners, while delivering comprehensive data and data-driven insights that catalyze collective business growth. More than being just a platform for driving commerce, udaan plays the role of a progressive partner, steering businesses towards a brighter and more prosperous future. It’s a journey driven by collaboration, innovation, and collective growth.

Redefining the FMCG Landscape with Transparency and Reliability

In the FMCG sector, udaan has emerged as a potent force shaping the industry’s future with precision and strategic acumen. They deploy a comprehensive range of strategies that have a significant impact on the FMCG landscape.

Their approach to product selection is a finely- crafted art. Every day, they meticulously curate a portfolio spanning from everyday essentials to regional delicacies, demonstrating dedication to diversity and choice. This thoughtfully-curated collection features products from over 400 FMCG brands, offering consumers a vast array of options.

In the fast-paced FMCG world, reliability is paramount. udaan takes immense pride in its extraordinary NextDay Delivery (NDD) rate, boasting an impressive 98.4% compliance rate over the past year.

This success is rooted in their meticulously organized supply chain, made sharper with cutting-edge technology. The platform ensures that products reach buyers, whether they reside in bustling urban centers or remote rural landscapes, acting as a catalyst for economic growth on every front.

Shrivastava points out, “Over the past year, we have moved to Anchor FC (Fulfillment Centers) and Micro FC model with the presence of 20 Anchor FC and 200+ Micro FCs. This has made our supply chain more responsive and ensures high availability of our entire portfolio every day to the buyer.’’

Udaan’s commitment to transparency is reflected in its pricing model, providing retailers with real-time access to essential data, fostering trust and predictability while eliminating uncertainties associated with conventional supply chains. With a Minimum Cart Value of Rs. 499, udaan simplifies daily order processes, enabling businesses to optimize their working capital.

Additionally, udaan plays a significant role in:

Providing structured credit

Empowering retailers and

Offering essential financial support

The company extends its services beyond product offerings by embracing financial adaptability.

Through udaanCapital, the company provides flexible payment and financing solutions, allowing businesses to stay in sync with their evolving financial needs in today’s dynamic economic landscape.

udaan’s forward-looking vision shines through the Bolt app, a tool designed to enhance efficiency and save precious time, solidifying their commitment to a swiftly evolving market.

In a dynamic business landscape where innovation is the linchpin of success, udaan’s steadfast dedication to the FMCG sector exemplifies a model of transformation, trust, and growth. udaan is reshaping the industry’s dynamics, emphasizing on the significance of foundational principles

Redefining Commerce with Quality, Diversity, and Customer Wisdom

udaan’s portfolio covers a vast expanse across the country. Shrivastava points out, “Currently through our extensive nationwide distribution setup, we have a presence across 1500+ cities/towns and cover 12,500+ pin codes.”

In a crowded market filled with various products, udaan stands out as a reliable choice. Quality and authenticity are central to their mission, catering to the discerning preferences of consumers who prioritize excellence.

Imagine a shopping experience crafted with meticulous attention to your preferences. udaan’s platform brings this vision to life by harnessing the power of data analytics to offer personalized product recommendations. It’s not just shopping; it’s a personalized journey, tailored to your unique tastes. The platform meticulously tailors its product offerings to align with the distinct tastes of various regions and demographics

The udaan marketplace thrives on the collective wisdom of its users. They don’t just buy; they become critics, sharing their experiences through reviews and ratings. These insights shape a gallery of inspiration for future buyers, creating a repository of shared wisdom.

udaan’s platform is more than a marketplace. It’s a comprehensive source of real-time data. It offers insights into 3P’S

Product availability

This meets the contemporary consumer’s demand for transparency and immediate access to information with every transaction.

udaan has extended its role beyond being an online marketplace. It functions as a strong comprehensive customer support. The company makes significant investments in customer service, ensuring swift and effective issue resolution for users. This commitment underscores their dedication to efficient service delivery in the ever-evolving business environment and enhances its consumer experiences.

Technology as the Beating Heart of the Platform

In the current digital landscape, technology assumes a central role, orchestrating a data-driven processes and advanced systems. The process commences with efficient availability management, guaranteeing easy access to each product at the click of a button.
